TERMS & CONDITIONS

1. Scope of Application
These Terms & Conditions govern all legal relationships between ELX Collective KLG (hereinafter “ELX Collective”, “we”, or “us”) and our clients (hereinafter “Client” or “you”).
They apply to all services, offers, and bookings made via www.elxcollective.com, by email, or through any other communication channel.
By using our services or confirming a binding offer, you expressly accept these Terms & Conditions.

2. Non-Binding Offers
For each booking inquiry, ELX Collective first issues a non-binding offer.
This serves solely to provide an initial indication of prices, services, and possibilities and is not legally binding for either party.
All details, prices, and services are indicative and may vary depending on availability, season, and specific arrangements.
Once the client confirms interest and requests a binding offer, such an offer will be created.
Upon issuance of the binding offer, the previous non-binding offer automatically becomes void.

3. Binding Offer & Payment Terms
The binding offer includes all finalised services, prices, and conditions.
It is valid for five (5) days from the date of issue.
Payment for all services listed in the binding offer is due in advance and must be received within the five-day validity period.
If payment is not received within this timeframe, the binding offer automatically expires and becomes null and void.
A new binding offer may be requested; however, prices, services, and availability may differ.

4. Booking Confirmation
A booking is considered confirmed once full payment has been received by ELX Collective.
By completing payment, the client confirms full acceptance of the services, prices, and conditions outlined in the binding offer, as well as these Terms & Conditions.

5. Third-Party Services & Liability
ELX Collective acts in part as an intermediary for third-party services (e.g. airlines, hotels, yachts, transport companies, or event providers).
Contracts for such services are concluded directly between the client and the respective third-party provider.
ELX Collective assumes no liability for the execution, quality, availability, or pricing of these third-party services.
We are only liable for our own services and only in cases of intent or gross negligence.

6. Changes, Cancellations & Refunds
Once a booking has been confirmed, changes or cancellations cannot be guaranteed and are subject to the discretion of ELX Collective or the respective third-party provider.
Any fees or costs arising from such changes or cancellations are the client’s responsibility.
Refunds are only possible if expressly granted by the relevant service providers.

7. Price Changes & Availability
All prices are quoted in Swiss Francs (CHF) unless otherwise stated, and are exclusive of taxes, fees, and additional services unless explicitly noted.
Price adjustments due to currency fluctuations, tax changes, or supplier modifications may occur at any time.
ELX Collective does not guarantee the availability of any services listed in the offer until payment and confirmation have been received.

8. Warranty & Limitation of Liability
The use of services arranged or organised by ELX Collective is at the client’s own risk.
We are not liable for losses, delays, illness, accidents, force majeure events, or acts of third parties.
Liability for indirect or consequential damages, including loss of profit, is excluded to the extent permitted by law.

9. Force Majeure
ELX Collective shall not be held liable for any non-performance, delay, or breach of contract resulting from events beyond our reasonable control.
This includes, but is not limited to, natural disasters, accidents, epidemics, pandemics, war, terrorism, political unrest, government measures, strikes, or other unforeseeable circumstances.
In such cases, ELX Collective may withdraw from the contract in whole or in part without any liability for compensation or refunds.

10. Client’s Insurance Obligation
Clients are solely responsible for obtaining adequate insurance coverage.
We strongly recommend appropriate travel, health, accident, liability, and cancellation insurance.
ELX Collective accepts no liability for damages or costs resulting from insufficient insurance coverage.

11. Payments, Currency & Fees
All payments must be made in Swiss Francs (CHF) unless otherwise agreed in writing.
Any bank fees, currency conversion charges, or transaction costs are entirely borne by the client.
Payment is deemed completed only once the full amount has been received by ELX Collective.

12. Priority of Individual Agreements
Individually negotiated and confirmed written agreements between ELX Collective and the client take precedence over these Terms & Conditions,
provided that they are explicitly designated as special agreements.
In all other respects, these Terms & Conditions remain applicable.

13. Written Form
Any amendments or additions to these Terms & Conditions must be made in writing to be legally valid.
Verbal commitments or informal agreements are not binding unless confirmed in writing by ELX Collective.

14. Severability Clause
Should any provision of these Terms & Conditions be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected.
The invalid provision shall be replaced by a valid one that most closely reflects the economic intent of the original clause.

15. Mandatory Law Reservation
Any mandatory provisions of Swiss law shall take precedence over these Terms & Conditions.
Nothing in these T&C seeks to exclude or limit any rights that cannot be lawfully excluded under Swiss law.

16. Amendments to the Terms & Conditions
ELX Collective reserves the right to amend these Terms & Conditions at any time.
The version in effect at the time a binding offer is issued shall apply.

17. Governing Law & Jurisdiction
These Terms & Conditions and all contractual relationships are governed exclusively by Swiss law.
The exclusive place of jurisdiction is St. Gallen, Switzerland.

18. Acceptance of the Terms & Conditions
By submitting a booking request, requesting a binding offer, or making payment for any service,
the client confirms that they have read, understood, and accepted these Terms & Conditions.

19. Data Protection
The protection of personal data is governed by our separate Privacy Policy,
which forms an integral part of these Terms & Conditions.
